Terms and Conditions
1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern the access to and use of the TaskLoop mobile application (“App”) and services provided by Sigma Software Corp (“Company,” “we,” “us,” or “our”).
By using our App, creating an account, or otherwise accessing our services, you (“Customer,” “you,” or “User”) agree to be bound by these Terms. If you are entering into this agreement on behalf of an organization (e.g., employer, school, or client), you represent that you have the authority to bind that organization.
2. Eligibility
Use of the App is limited to:
- Authorized employees, faculty, students, or representatives of an organization with a valid license or agreement. [S/B something else?]
- Users who are at least 18 years old, or have parental or institutional consent if under 18.
3. License and Use
We grant you a non-exclusive, non-transferable, limited license to access and use the App in accordance with these Terms and any applicable license agreement between your organization and us.
You agree not to:
- Reverse engineer, decompile, or modify the App
- Use the App in violation of any applicable laws
- Permit unauthorized access or use by third parties
- Circumvent security or usage controls
4. User Accounts
Users must create an account to access certain features of the App. You are responsible for:
- Maintaining the confidentiality of your login credentials
- Ensuring that your account information is accurate and up-to-date
- All activities that occur under your account
We reserve the right to suspend or terminate accounts suspected of unauthorized use or violation of these Terms.
5. Organizational Use & Administrators
Organizations using the App may assign administrators to manage users. Administrators may:
- Access user data and activity logs
- Configure settings and integrations
- Terminate user accounts within their domain
Each organization is responsible for managing its own users and ensuring compliance with applicable data privacy laws, including FERPA, GDPR, and CCPA where applicable.
6. Intellectual Property
All intellectual property rights in the App, including but not limited to software, content, trademarks, and documentation, remain the property of Sigma Software Corp or its licensors.
Users retain ownership of content they upload, subject to our license to store, process, and display it solely for the purpose of providing the service.
7. Data Privacy & Security
We are committed to protecting your data. Our practices are governed by our Privacy Policy, which forms an integral part of these Terms.
- We act as a data processor when processing data on behalf of enterprise or educational clients.
- We do not sell personal data.
- All data is encrypted in transit and at rest using industry standards.
- Compliance with privacy laws such as GDPR, FERPA, and CCPA is ensured through appropriate technical, contractual, and organizational measures.
8. Payment & Subscription Terms (if applicable)
For enterprise or professional accounts with paid subscriptions:
- Fees are set forth in your organization's service agreement.
- Payments are due as specified in your invoice.
- Late payments may result in suspension of service.
- No refunds are provided unless otherwise stated in a separate agreement.
9. Service Availability and Support
We strive to maintain 99.9% uptime and provide enterprise-grade support during business hours. However:
- We may perform scheduled maintenance with prior notice
- Unscheduled downtime may occur due to technical issues
- We are not liable for losses resulting from service interruptions

10. Third-Party Integrations
The App may offer integrations with third-party tools and platforms (e.g., LMS, cloud storage, video conferencing). Use of such services is subject to the third parties’ terms and privacy policies.
We are not responsible for any issues or data processing practices related to third-party services.
11. Termination
We reserve the right to:
- Terminate or suspend your access to the App for violation of these Terms
- Terminate service to an organization based on breach of contract or non-payment
Upon termination:
- Your license to use the App ends immediately
- We may delete or retain data in accordance with our data retention policy or client agreement
12. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability for any claim arising out of the use of the App is limited to the amount paid by your organization in the 12 months preceding the claim
13. Indemnification
You agree to indemnify and hold harmless Sigma Software Corp, its affiliates, and its employees from any claims, damages, losses, or legal fees arising from your violation of these Terms or misuse of the App.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Utah, USA, without regard to conflict of law principles.
Any disputes shall be resolved:
- First, through good-faith negotiation
- If unresolved, by arbitration under the rules of the American Arbitration Association
- The arbitration decision shall be final and binding
15. Changes to Terms
We may update these Terms from time to time. Updates will be communicated via the App, email, or posting to our website. Continued use of the App after updates constitutes acceptance of the new Terms.
